the process of forming a JOINT-STOCK COMPANY, which involves a number of steps:
  1. drawing up a MEMORANDUM OF ASSOCIATION;
  2. preparation of ARTICLES OF ASSOCIATION;
  3. application to the REGISTRAR OF COMPANIES for a CERTIFICATE OF INCORPORATION;
  4. issuing SHARE CAPITAL;
  5. commencing trading.
