Form 10-K

A report required by the SEC from exchange-listed companies that provides for annual disclosure of certain financial information.

10-K

A form the SEC requires publicly-traded companies and some private companies to file every year. It includes statements on equity and audited financials. While similar to the annual report to shareholders, it often contains more information, such as executive compensation and organizational structure. All publicly traded companies and any privately traded companies with more than 500 shareholders and $10 million in assets are required to file a 10-K. The SEC requires companies to provide the 10-K form to any shareholder who requests it and to state on the form whether or not the company's financials are available for free online. According to the company, it is working diligently on its plan to regain compliance and file its Form 10-K for the period ended 31 December 2014 as soon as practicable.
Additionally, the company said that the notice pointed out that it is yet to file its Quarterly Report on Form 10-Q for the period ended 31 March 2012 and its Annual Report on Form 10-K for the period ended 31 December 2011 with the US Securities and Exchange Commission (SEC).
