memorandum of association

a legal document which must be filed with the REGISTRAR OF COMPANIES before a JOINT-STOCK COMPANY can be incorporated, and which governs the external relationship between the company and third parties. The memorandum must contain certain compulsory clauses stating:
  1. the name of the company;
  2. the objects of the company;
  3. the country in which the company is situated;
  4. whether it is limited by shares or other means;
  5. the amount and division of share capital;
  6. the signature of the subscribers forming the company, each of whom must take at least one share. See ARTICLES OF ASSOCIATION.
