contingent value right (CVR)
The right to a cash payment if the average price of an underlying security fails to reach a specified level by a certain date. The size of the payment to the owner of the right depends on the difference between the specified and actual prices. The CVR expires without value if the actual price of the underlying security exceeds the specified price.

Riverside Forest Products (TSX:RFP) today announced that it has signed a definitive agreement with International Forest Products ("Interfor") (TSX:IFP) pursuant to which Interfor will make an offer to acquire Riverside for $39 per share in cash and Interfor Class A shares, or $35 per share in cash and Interfor Class A shares plus a Contingent Value Right (CVR) to receive any U.
134 million newly issued shares of General Mills constituting approximately 32% of General Mills' enlarged issued share capital and valued at $44 per share representing $5,896 million -- $3,830 million of cash and assumed debt -- $670 million contingent value right (CVR).
Under the agreement Stanford Telecom stockholders will receive for each share of common stock US$30 in Newbridge stock plus a contingent value right (CVR) which will give them a participation in the proceeds on the sale of other operations above a minimum amount.
