Secondary Public Offering

Secondary Public Offering
Any issue of stock after the initial public offering. That is, in a secondary public offering, a company sells shares that it has not previously issued. This increases the number of shares outstanding, which can (though does not always) lead to dilution of share value. A secondary public offering occurs on the primary market and therefore should not be confused with secondary market transactions.

Inspections of securities companies have found cases in which a brokerage carries out an examination on behalf of other brokerages when they serve as co-lead managers to help a company make initial or secondary public offerings, the SESC said.
The company has confirmed that it intends to make a secondary public offering on either Nasdaq or NYSE to raise cash for acquisitions.
The investigation focuses on allegations that statements contained in the Registration Statement and Prospectus issued by Century Aluminum in connection with a secondary public offering were false and misleading and failed to disclose that the Company's reported consolidated statement of cash flows for the nine months ended September 30, 2008, was overstated.
