Grants of shares of stock subject to restrictions on sale and risk of forfeiture until vested by continued employment. Restricted stock typically vests in increments over a period of several years. Dividends or dividend equivalent rights may be paid, and award holders may have voting rights, during the restricted period.

Restricted Stock Award
An award of stock through some means other than the open market. One may receive a restricted stock through a merger or acquisition, private placement prior to an IPO, or sometimes through a stock option. A restricted stock is not registered with the SEC and thus may not be sold publicly until registration has been made.
