Nonassessable Capital Stock
Stock in a publicly-traded company that limits the holder's liability to the amount invested. That is, if the company issuing nonassessable capital stock is liquidated, the holder of the stock cannot lose more than he/she invested in the first place. Nonassessability contrasts with unlimited liability. Most stock issued in the United States is nonassessable capital stock.

Capital stock for which owners cannot be assessed additional funds to cover any liabilities of the firm. Thus, an owner of nonassessable capital stock can lose no more than his or her original investment. Nonassessable stock is the dominant kind issued in the United States.
