Proportional representation A method of stockholder voting that allows minority shareholders and groups of small shareholders to have a better chance of getting representation on a Board of Directors than under statutory voting. Proportional Representation In a publicly-traded company, a method of voting for members of the board of directors in which a shareholder can give multiple votes to the same candidate rather than voting individually for each available seat.
