Closed-Market Transaction
A situation in which an insider buys or sells restricted shares in a company from or to the same company. Because the person involved is an insider, he/she must file appropriate documentation with the SEC in order for the transaction to be legal. However, closed-market transactions are not considered insider trading because the counterparty is the company itself rather than another investor without inside information.
