Beneficial Ownership

Beneficial ownership
Often used in risk arbitrage. Person who enjoys the benefits of ownership even though title is in another name. (Abused through the illegal use of a parking violation.)

Beneficial Ownership
The state of having effective ownership of a security without actually holding title to it. This especially refers to holding voter proxy or investment power over a share or transaction, whether directly or indirectly. See also: Double-dip lease.

ISLAMABAD, September 14, 2009 (Balochistan Times): The Securities and Exchange Commission of Pakistan has directed all listed companies, their directors and more than ten percent shareholders to file their outstanding Annual Return on Form-A and Returns of Beneficial Ownership respectively by October 31, 2009.
Under the terms of the transaction, Citi will sell to Sumitomo Trust its entire 64 per cent beneficial ownership interest in Nikko AM, including the beneficial ownership interest that it holds through Nikko Principal Investments, for all-cash consideration to Citi of [yen]75.
If the taxpayer is an SEC registrant, the SEC filing rules generally will require any person who acquires more than 5% of the beneficial ownership of stock to file an SEC Schedule 13D, Statement of Beneficial Ownership, or 13G, Short Form Statement of Beneficial Ownership, as appropriate.
