Accumulated Dividend
Dividends on preferred stock that are past due. Because preferred stocks have guaranteed dividends, a company is legally required to pay the dividends before it makes any dividend payments on common stock. Dividends in arrears go to the current owners of preferred stock when they are paid; the person who owned the stock when the dividends originally should have been paid receives nothing. They are also called accumulated dividends.

The Final Regulations specify that a right to payment of accumulated dividend equivalents at the time of exercise of a stock right not otherwise subject to Section 409A is generally treated as a reduction in the exercise price of the stock right that will cause the stock right to be subject to Section 409A.
No payment or adjustment for accumulated dividends will be made upon conversion.
